These Terms apply to your use of xurutechnologies.com and to services provided by Xuru Technologies Private Limited. Please read them with our Privacy Policy, Cancellation Policy and Refund Policy. Nothing in these Terms limits any rights you have under laws that cannot be excluded.
About us and these Terms
“Xuru”, “we”, “us” and “our” mean Xuru Technologies Private Limited, a company incorporated in India, with its registered office at A/57 Dream Luxuria Soc., Bardoli-Mahuva Road, Bardoli, Surat, Gujarat 394620, India. You can contact us at info@xurutechnologies.com or +91 87992 91881.
“You” means the person or organisation using our website or engaging our services. If you accept these Terms on behalf of an organisation, you confirm you are authorised to do so.
For each engagement, the specific scope, deliverables, fees and timelines are set out in a quotation, proposal, invoice or service agreement (an “Agreement”). If an Agreement conflicts with these Terms, the Agreement prevails for that engagement.

Your responsibilities
You agree to provide accurate information, the content we need, authorised access to systems, and timely feedback and approvals. You are responsible for ensuring you have the right to use any materials, images, trademarks, documents, customer information and other assets you supply to us.
Delays caused by missing content, unavailable access, late approvals or changing requirements may affect delivery dates and, where the Agreement provides, fees.
Fees and payments
- Fees, taxes, payment milestones and due dates are stated in the Agreement before the project is confirmed.
- Deposits, advance, milestone and final payments must be made as set out in the Agreement.
- Where permitted by the Agreement and applicable law, we may pause work while payments are overdue.
- Unless stated otherwise, fees exclude third-party costs (see below).
Third-party services and costs
Our work may involve third-party platforms such as hosting providers, domain registrars, payment gateways, marketing platforms, software vendors and AI providers. Their availability, pricing, features, uptime, approval decisions and continued operation are governed by their own terms and policies.
Subscription fees, hosting, domain renewals, software licences, API usage, advertising spend and other external costs are identified and allocated in the quotation. You remain responsible for third-party charges you approve, as specified in the Agreement.
Intellectual property
Unless the Agreement says otherwise, ownership of custom deliverables created specifically for you transfers to you once we have received full payment of the fees for those deliverables. Until then, you may use them only as permitted in the Agreement.
We keep ownership of our pre-existing tools, reusable components, frameworks, methods and know-how. Where these are incorporated in your deliverables, we grant you a non-exclusive, perpetual licence to use them as part of those deliverables.
Third-party software, open-source components, stock assets, fonts, plugins, AI models and licensed tools remain subject to their own licences.
We will not show your confidential information in our public portfolio without your permission. We may describe the general nature of our work for you only if the Agreement allows it or you agree.
Confidentiality
Each party will keep the other’s confidential information confidential and use it only for the engagement, except where disclosure is required by law or the information is already public. This continues after the engagement ends.
AI services
Where a service involves AI agents, assistants or automation, our AI Services & Data Usage Notice also applies. AI outputs may be inaccurate or incomplete and should be reviewed where appropriate.
No guarantee of results
We carry out our services with reasonable skill and care. We do not promise uninterrupted availability of any system, approval by payment gateways or other providers, particular search rankings, marketing results, AI accuracy, or any specific business, revenue or cost-saving outcome.
Cancellations and refunds
Cancellations are handled under our Cancellation Policy and refunds under our Refund Policy, subject to any rights you have under applicable law.
Limitation of liability
To the extent permitted by law, our total liability arising out of or in connection with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid to us for the specific service giving rise to the claim during the twelve months before the claim arose.
To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill, or for failures of third-party services outside our reasonable control.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, or under mandatory consumer protection laws.
